By accessing or using the DigiQuill Media website, services, tools, forms, automations, digital products, or communications (collectively, the “Services”), you agree to be legally bound by these Terms of Service (“Terms”).

If you do not agree to these Terms in their entirety, you may not access or use our Services.

These Terms apply to all visitors, prospective customers, active clients, subscribers, and users and constitute a binding legal agreement between you and DigiQuill Media, a division of Templar Business Resources LLC.


2. Eligibility

By using our Services, you represent and warrant that you:

Have legal capacity to enter binding agreements

Are using our Services for lawful business purposes

Are not prohibited from receiving Services under applicable law

We do not knowingly provide Services to individuals under 18. Accounts discovered to violate this policy may be terminated immediately.


3. Services Provided

DigiQuill Media provides digital marketing and automation services including but not limited to:

Website design and development

Sales funnel creation

Online reputation management

Local SEO & Google Business optimization

Paid advertising management

Email and SMS marketing automation

CRM configuration (including GoHighLevel)

Lead generation tools

AI-powered marketing systems

Business consulting & digital strategy

Analytics and reporting

We reserve the right to modify, expand, or discontinue any Service at any time.


4. User Accounts

Where account access is required, you agree to:

Provide accurate and complete information

Maintain confidentiality of login credentials

Accept responsibility for all activity under your account

Notify us immediately of unauthorized access

We may suspend or terminate accounts for misuse, violations, or non-payment.


5. User Content

You retain ownership of content you submit (“User Content”).

By submitting content, you grant DigiQuill Media a limited, non-exclusive license to use such content solely to provide Services.

You are responsible for ensuring your content:

Complies with applicable laws

Does not infringe third-party rights

Is not false, defamatory, or unlawful


6. Prohibited Uses

You agree not to use our Services to:

Send spam or unlawful marketing messages

Violate TCPA, CTIA, FCC, A2P 10DLC, or CAN-SPAM regulations

Transmit malware or harmful code

Engage in fraud or deceptive practices

Attempt unauthorized system access

Resell Services without written permission

Violations may result in immediate termination without refund.


7. SMS Messaging, A2P 10DLC & TCPA Compliance

This section governs all SMS and MMS communications and complies with A2P 10DLC regulations, TCPA, FCC rules, CTIA guidelines, and U.S. carrier policies.


A. Program Description

Our SMS program sends:

Appointment confirmations and reminders

Onboarding and service notifications

Customer support responses

Review requests

Promotional messages (only when separately opted in)

Opt-in is collected through web forms at https://digiquillmedia.com using a dedicated, unchecked checkbox.


B. Consent to Receive SMS Messages

By providing your mobile number and affirmatively opting in, you:

Consent to receive SMS/MMS messages

Confirm consent is not required for purchase

Confirm you are the authorized number holder

Confirm you are 18 years or older

Opt-in language includes:

C. Message Frequency

Message frequency varies based on service usage. Typically 1–10 messages per month.


D. Message & Data Rates

Standard message and data rates may apply. Contact your wireless carrier for details. DigiQuill Media is not responsible for carrier charges.

Sprint

Most regional carriers

Carrier participation may change without notice.


F. Carrier Liability Disclaimer

Wireless carriers are not liable for delayed or undelivered messages.


G. Opt-Out Instructions

You may opt out at any time by:

8. Payment Terms

You agree to:

Provide accurate billing information

Authorize agreed charges

Pay fees by due date

Late payments may result in suspension.

Payments are processed through PCI-compliant providers such as Square. We do not store payment card data.


9. Refund Policy

Setup fees: Non-refundable once work begins

Monthly services: Non-refundable for current billing cycle

Digital audits: Non-refundable once delivered

Custom work: Governed by Statement of Work

No prorating for partial months


10. Third-Party Integrations

We integrate with third-party platforms including GoHighLevel, Google, Meta, Stripe, Square, Zapier, and others.

We are not responsible for:

Third-party downtime

Pricing changes

Platform policy updates

Use of third-party services is governed by their respective terms.


11. Intellectual Property

All DigiQuill Media proprietary materials are protected by intellectual property laws.

You may not:

Copy or reproduce materials

Resell or sublicense Services

Reverse engineer systems

Client deliverables become your property upon full payment. We may reference completed work in our portfolio unless requested otherwise.


12. Confidentiality

Both parties agree to maintain confidentiality of non-public information for two (2) years post-termination, or indefinitely for trade secrets.


13. Privacy & Data Protection

Your use of Services is governed by our Privacy Policy at:

We implement industry-standard safeguards but cannot guarantee absolute security.


14. Disclaimer of Warranties

Services are provided “as is” and “as available.”

We disclaim:

Implied warranties of merchantability

Fitness for particular purpose

Non-infringement

Guarantees of specific business outcomes


15. Limitation of Liability

To the fullest extent permitted by law:

DigiQuill Media shall not be liable for indirect, incidental, or consequential damages.

Total liability shall not exceed the amount paid in the ninety (90) days preceding the claim.


16. Indemnification

You agree to indemnify DigiQuill Media and Templar Business Resources LLC against claims arising from:

Your misuse of Services

Your violation of law

Your submitted content

Your breach of these Terms


17. Termination

We may suspend or terminate Services for:

Non-payment

Terms violations

Unlawful use

Regulatory requests

Termination does not waive outstanding payment obligations.


18. Changes to Terms

We may update these Terms at any time. Updates will be posted with a revised Effective Date.

Continued use constitutes acceptance of revised Terms.


19. Governing Law & Dispute Resolution

These Terms are governed by Minnesota law.

Disputes shall first undergo good-faith negotiation.

If unresolved within 30 days, disputes shall be resolved via binding arbitration in Stearns County, Minnesota under AAA rules.

Either party may seek injunctive relief where necessary.


20. Severability

If any provision is found unenforceable, the remaining provisions remain in full force and effect.


21. Entire Agreement

These Terms, together with our Privacy Policy and any signed Statements of Work, constitute the entire agreement between you and DigiQuill Media.
